Terms of Service

1. Agreement to Terms

By accessing or using ReadyToTalk ("the Service"), operated by Seven Olives Inc ("Seven Olives," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and subscribers.

2. Description of Service

ReadyToTalk provides an AI-powered virtual receptionist service for small businesses. The Service:

• Answers inbound phone calls using artificial intelligence
• Provides business information to callers based on your website and configuration
• Takes messages and generates call summaries
• Books appointments when configured
• Sends lead notifications via email

You activate the Service by forwarding your business phone number to a ReadyToTalk-provisioned phone number.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to use the Service
• One person or business may not maintain more than one account
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account

4. Free Trial

New accounts are eligible for a 7-day free trial of the ReadyToTalk Pro plan. During the trial:

• You have full access to all Service features
• A valid payment method is required to start the trial
• You will not be charged during the 7-day trial period
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan
• You may cancel at any time during the trial at no cost

5. Billing and Payments

Subscription

The ReadyToTalk Pro plan is billed at $49 per month, charged in advance on a recurring monthly basis.Your subscription includes a set number of included call minutes per month.

Overage

If you exceed your included minutes in a billing cycle, overage charges apply at the rate displayed in your account settings. Overage charges are billed at the end of each billing cycle.

Payment Processing

All payments are processed securely through Stripe. We do not store your credit card information. By providing payment information, you authorize us to charge your payment method for all fees incurred.

Cancellation

• You may cancel your subscription at any time from your account settings
• Upon cancellation, you retain access until the end of your current billing period
• No partial refunds are provided for unused time in a billing period
• Your AI receptionist will stop answering calls once your subscription ends
• Your data will be retained for 30 days after cancellation to allow reactivation

Price Changes

We reserve the right to change pricing with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle after the notice period.

6. Voice Data and Consent

By using ReadyToTalk, you acknowledge and agree that:

• Inbound calls to your ReadyToTalk number will be answered by an AI, not a human
• Call audio is processed in real time by our AI partner (Vapi) to generate responses
• Call transcripts and summaries are generated and stored in your account
• If call recording is enabled, audio recordings are stored for the retention period specified in our Privacy Policy
• You are responsible for informing your callers that calls may be recorded and/or handled by AI, as required by applicable laws in your jurisdiction
• You will comply with all applicable federal, state, and local laws regarding call recording consent (including two-party consent states)

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Engage in fraudulent, deceptive, or misleading activities
• Harass, abuse, or harm others
• Transmit spam, robocalls, or unsolicited communications
• Use the Service for illegal telemarketing, phishing, or social engineering
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to the Service or related systems
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without our written permission

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

8. AI-Generated Content

The ReadyToTalk AI receptionist generates responses based on the information you provide (website content, business details, custom prompts) and its AI training. You acknowledge that:

• AI responses are not guaranteed to be 100% accurate at all times
• You are responsible for reviewing and configuring the information your AI receptionist provides to callers
• Seven Olives is not liable for any commitments, promises, or statements made by the AI to your callers
• You should regularly review call transcripts to ensure the AI is performing as expected

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your business data. We may use aggregated, anonymized data to improve the Service.

10. HIPAA and Healthcare Data

ReadyToTalk is a general-purpose AI receptionist platform and is not a HIPAA-compliant service. We do not currently offer Business Associate Agreements (BAAs) and are not designed or certified to handle Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations.

If you are a covered entity or business associate under HIPAA (including but not limited to medical practices, dental offices, mental health providers, pharmacies, or their business associates), you must not use ReadyToTalk to receive, transmit, store, or process any Protected Health Information. This prohibition applies regardless of whether PHI is intentionally submitted or incidentally disclosed by callers during AI-handled calls.

By using the Service, you represent and warrant that you will not use ReadyToTalk in any manner that would subject Seven Olives Inc to HIPAA obligations. Any use of ReadyToTalk to process PHI without a signed BAA is a material violation of these Terms and may result in immediate account termination. You agree to indemnify Seven Olives Inc for any losses, penalties, or liabilities arising from your unauthorized use of the Service to process PHI.

11. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Seven Olives Inc and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

You retain all rights to your business content uploaded to or processed by the Service.

12. Service Availability

We target high availability but do not guarantee uninterrupted service. We may experience planned maintenance windows or unplanned outages. We will make reasonable efforts to notify you of planned downtime in advance. We are not liable for losses arising from service interruptions.

13. Limitation of Liability

To the maximum extent permitted by law, Seven Olives Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Missed calls or inaccurate AI responses
• Damages arising from service interruptions

Our total aggregate liability for any claims arising from your use of the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Seven Olives Inc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

• We may terminate or suspend your account immediately for violation of these Terms
• We may terminate your account with 30 days' notice for any reason
• You may delete your account at any time from your account settings
• Upon termination, your right to use the Service ceases immediately
• Your data will be retained for 30 days after termination to allow export

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

17. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
